Both members of the firm serve our business law clients. The firm assists clients in buying and selling businesses and the formation of business entities including corporations, limited liability companies and partnerships. We also review and draft noncompete agreements, employment agreements, buy-sell agreements and similar documents.

If you are starting a new business, you will have to decide whether to operate that business as a sole proprietorship, a partnership, a corporation, an "S" corporation or a limited liability company. We will work with you and your accountant to determine what type of entity is best for you and once that decision is made, we will assist you in forming that new entity.

If you are buying an existing business, it is crucial that you exercise due diligence to make sure you know what you are buying. We will work with you and your accountant to review the existing business records and to draft a purchase or sales agreement which protects you and your interests. The threshold issue is whether the transaction should be structured as a sale of stock or a sale of assets. There are also other issues to consider in the purchase or sale of a business including whether the seller will agree to a restrictive covenant which will prevent him or her from competing against the business being sold within a certain geographic area and for a certain specified time. There is often also an issue as to the lease of the premises where the business is conducted and whether the landlord will agree to an assignment of the lease and an extension of the lease, if appropriate.
